Upp is suing his son Scottie Upp who left the firm and started his own, plus get this, Scott threw a bottle at an employee who recently left the firm, accusing him of feeding info. to his son — you can’t make this stuff upp!; Now that Craig Nelson was found not guilty of assault, he wants money from the 111 East Chestnut condo association and he is threatening to bring charges against a lawyer on the board who did not even testify, Donna Simpson; and Brend Shore is back at The Bagel with her tail between her legs; How was Technori last night?

If I have to explain it to my mother, then I should say it to the readers more clearly. You can’t prove a negative, but the value of the TMR archives is in what you don’t see happening.
In statistical terms, it is to either reduce the number of false positives or increase true negatives. This is in some ways what Bill Zangwill’s decision system does for VCs. You can’t see and measure things that don’t happen. For years, people came up to me on the street and thanked me for helping them to avoid the mistake of working for firms like marchFIRST.

Several things that didn’t happen just this year, in part due to information provided in this report:

– Michael Kurgan and his new firm Servicewing Healthcare servicewing.com/About_Us.html in Southern California was denied a lease for 10,000 sf of office space.

– A major insurance company in NYC decided to take a pass on doing business with www.affluence.org run by Doug Stuckel and Mike Profita.

– There may be folks here and in Toronto, Canada who have refrained from doing business with Chris Tomes and brother Ed as a result of warnings in this report. Todd Ousley in Michigan (734-678-3033) found his suspicions confirmed in TMR and continues his pursuit of Tomes.

– Al Wasserberger snookered angel investor Bob Geras out of a lot of money when he was CEO of Media River. Al escaped to Belize, but has returned to Chicago this year, telling people that he sold his company to Google. That story is pure fabrication. But Al is trying to palm himself off as an advisor to investors. Anyone who sees him should be very wary.

– There are dozens of other examples of people who did not take a job or did not hire someone or who did not invest in a firm or who avoided doing business with someone in part due to information in this report. Neil Kane, Len Bland, Maverix.net, Nancy Sullivan, Mike Rhodes, Tom Thornton (and here Carolyn Nowinski told me at the Entrepreneurial Bash at UIC on November 17th that Churchwell never took the $5MM he was slated to get from the Kansas Bioscience Authority and on that narrow point, I did play a role by alerting Kansas state senator and chairman of the Kansas state senate commerce committee Susan Wagle to the fact that TLC did not have a new fund and was therefore not eligible for the money which was being doled out on a matching basis) and many more examples..

As I told my mother, The May Report is not here to bestow meaningless and phony accolades on local people and companies. We have The Trib, Crain’s, the Sun-Times, Technori, Tech-li, TINC, Thomas D. Kuczmarski and Dan Miller and others for that.

TMR is a warning system, hopefully an early one, about mistakes to avoid making.

It took seven short weeks from the diagnosis for the cancer to capture my Mom’s life, nearly every day of which I was able to spend with her. The last faces she looked upon belonged to two young girls she adored, and the last thing she heard was all our love surrounding her. But the Dallas-based telecommunications giant noted in a blog that the company and T-Mobile’s parent, Deutsche Telekom AG, would continue to pursue antitrust clearance for the $39 billion agreement “from the Department of Justice either through the litigation pending before the United States District Court for the District of Columbia … or alternate means.”
AT&T is set to square off against the Justice Department during a February trial over whether the merger between the nation’s second- and fourth-largest wireless providers is anticompetitive.
“As soon as practical, AT&T Inc. and Deutsche Telekom AG intend to seek the necessary FCC approval,” AT&T added in the blog. “As a result of the FCC’s action, AT&T expects to recognize a pretax accounting charge of $4 billion ($3 billion cash and $1 billion book value of spectrum) in the 4th quarter of 2011 to reflect the potential break up fees due Deutsche Telekom in the event the transaction does not receive regulatory approval.”
Last week FCC Chairman Julius Genachowski circulated an order to his colleagues that would have referred the matter to a hearing before an administrative law judge. FCC officials have expressed opposition to the deal in comments to the media.

City offers marketers space on trash cans, website, water bills

Mayor Rahm Emanuel not only wants to sell ad space on bridge houses and
trash cans, he’s looking at stuffing corporate fliers in water bills,
selling exclusive vending rights at city facilities and allowing promotional
sponsorships of public programs.
As part of the mayor’s 2012 budget plan to raise $25 million from marketing
the city, the Emanuel administration put out a call for marketing firms to
help the city identify opportunities and negotiate contracts with potential
advertisers.
The goal is “generating the maximum value for the City’s corporate fund
operating budget while limiting the social impacts of such advertising
activities, including visual pollution, and preserving the continuity and
integrity of the City’s image,” according to the request for proposals
posted on the city’s website last week.
That website, by the way, is among the public spots where people may one day
find advertisers competing for their attention. So are street sweepers,
snowplows, buildings, overpasses and traffic control boxes on sidewalks.
All of which worries observers who were upset at Emanuel’s first try at
generating ad revenue earlier this month by leasing space on the historic
Wabash Avenue bridge houses over the Chicago River.
The result was red, white and blue signs for Bank of America stuck on to the
limestone walls, where they will remain through Dec. 12. The city says it
made $4,500 from the deal, but critics said it was an assault on Chicago’s
architectural heritage.
The lack of standards suggests that “anything is fair game,” said Jean
Follett, interim executive director of Landmarks Illinois.
“Whatever you ask we’ll negotiate it,” Follett said. “We’ve put ourselves in
a corner; what you get instead of tax increases is fees and ads in your
public spaces and in your water bills.”
The city solicitation, which is only the initial step in the marketing
plans, breaks public assets into six categories, including physical
property, vending and product licensing, mail and the city’s website. It
offers little guidance on how to differentiate between the value of a trash
can and public landmarks.
“The Mayor and his administration are exploring any and all innovative
options that will bring new revenue into the City to avoid reductions in
services the City delivers and any additional financial strains on Chicago
taxpayers,” Lois Scott, the city’s chief financial officer, said in a
statement responding to questions about the plans. “The city has numerous,
diverse places and things to market, and we’re ready to work together under
the right set of guidelines to market what Chicago has to offer.”
Former Mayor Richard Daley first proposed the idea of allowing corporate ads
on bridge houses. The head of the company that won the resulting contract to
market the bridge houses – leading to the recent bank ad – said the city can
make money while protecting its landmarks.
“The overall impact of the concept in the long run needs to be sensitive to
the needs of the city and maintain its architectural integrity,” said
Phillip Lynch, president and owner of Lincolnshire-based Fresh Picked Media.
“There’s pop art type executions that don’t have to be as direct as
advertising and are clever and add a theme.”
Companies that sell breath fresheners could erect ads outside of
restaurants, Lynch said, and gray traffic light boxes could be turned into
gift boxes for the holidays.

Tech IPOs floated like butterflies. Now they’re stinging like bees.
Limiting the share float as part of their initial public offerings helped Groupon,LinkedIn and Pandora Media achieve bubbly valuations early on. But they have since seen their shares fall more than 30%-40% from their first day’s close.
Groupon’s IPO looks a particular disaster. Barely three weeks after selling just 6% of its shares outstanding to the public, Groupon’s share price is in free-fall. At $16.96, where Groupon closed Wednesday, shares are already well below the initial public offer price of $20. Doubts about Groupon’s business model had been well-publicized. Still, among technology IPOs dating back to 1995, Groupon offered the fourth smallest number of shares as a percentage of those outstanding, according to Dealogic. That was likely a key factor behind its strong debut.
Online radio firm Pandora Media has fared little better. It sold just 9% of its outstanding shares on its IPO, and is now down 34% from its initial public offer price. The company has incurred an operating loss through the first nine months of the year, and investors are rightly worried about competition from online music rivals like Spotify.
LinkedIn also sold just 9% of its shares. Though shares are down 30% from their first day’s close, unlike Groupon and Pandora they remain well above their IPO price. Still, shares are coming under pressure now that insiders can sell. The six-month post-IPO lockup expired on Monday.
Investors must be careful with the next crop of tech IPOs, particularly online game company Zynga. It has yet to specify how many shares it plans to sell to the public, and may find it tough to go public at all in the current volatile environment. But considering its own growth is slowing, investors should beware similar floatation devices.

Groupon Sues Former Executives for Disclosure of Confidential Information
Chicago based Groupon, the online provider of daily deals is suing two former sales executives for allegedly taking confidential information with them when they joined Google Offers, a deal-of-the-day website that utilizes the same business model as Groupon to offer on-line coupons.

Courthouse News Service reported Wednesday that Groupon sued Brian Hanna and Michael Nolan, claiming their work at Google will inevitably lead to disclosure of trade secrets to Groupon’s competitor.

Google is not a party to the complaint.

“The defendant’s disclosure of Groupon’s confidential information relating to how it structures and prices deals with merchants will permit Google Offers to immediately compete against Groupon with the benefit of knowing Groupon’s sales and marketing strategies,” Groupon claims in Cook County Court.

The Company claims Hanna and Nolan breached their employment agreements, which bar them from working for a direct competitor of Groupon for 2 years.

The defendants left Groupon in September to join Google Offers, after Groupon rejected Google’s $6 billion buyout offer last year.

Groupon says Hanna and Nolan breached the contracts, in which they agreed to protect confidential information and refrain from soliciting its clients and employees for 24 months after leaving Groupon.

According to the report, the Company says Hanna and Nolan had access to information such as deal structuring and timing, prices, market research and merchant information, and direct contact with customers. The defendants also participated in regular sales strategy meetings at Groupon where they were provided with updated information regarding how the Company structures and prices deals with participating merchants.

As well, Groupon says on the day Hanna resigned, he emailed Groupon client information to himself, to use it after his termination. Groupon claims both defendants failed to return company materials such as training manuals. Hi Phil,

Congratulations! You have made it to the next step of our casting process. We will be in your office on Wed. Nov. 30th. As you know, this means that two of us will be coming in to do on-camera interviews with some or all of the employees, and to shoot footage of your office!

As for your on-camera interviews, we will excuse people individually to come to an empty room and do a one-on-one interview that will not run more than 15 minutes each. We ask that you please dress how you would come to the office on any given day.

As for the footage of the office, we will be filming the exterior of the building, as well as the entire inside of your office. We want to see your every day operations, your conference room, as well as where everyone congregates.

We will shoot everything as quickly as we can, and we hope to be at your office for no longer than 4 hours. We understand that you have a business to run and therefore, we will be as quick, and as quiet, as we can.

Most importantly, attached is the application to participate in our show. Everyone that is going to be on camera (pretty much EVERYONE in your office) needs to know that they will be on camera participating in an interview, and needs to have the application completed BEFORE we arrive. They should hang on to their applications and we will collect each one when we get there. Their answers will only be seen by us, so everyone should feel free to be as candid as possible.
We are looking forward to coming in to your office and are excited to move you through to the next step of the casting process. Chicago’s New Media Outperforms Two Old Dying Papers

It’s no secret that Chicago’s two major daily newspapers are circling the drain.
According to chicagoist.com, in 2011:
Fewer Chicagoans are getting their fingers stained turning the pages of newspapers. Daily circulation for both the Tribune and Sun-Times for the six-month period ending Sept. 30, [declined] according to numbers from the Audit Bureau of Circulations.
The Tribune’s daily circulation fell by 2.7 percent to 425,370, while the Sun-Times’ weekday numbers of 236,371 reflected a 7.2 percent drop. There was some good news for the Tribune. Their Sunday circulation numbers rose to 781,128. The Sun-Times’ Sunday numbers fell slightly to 233,445.
Compare those numbers with these tallied by the Audit Bureau of Circulations (ABC), according to the Tribune, in the not too distant past.

Sun-Times March to Sept. 08 255,905 (S) 313,176 (M-F)
In the seven years from 2005-2011, the Monday-Friday circulation of the Trib went from 586,122 to 425,370. For the Sun Times​, the numbers declined from 349,968 to 236,371. In the old math, that’s a 27% decline in daily circulation for the Trib in the last 7 years, and a 32% decline for the Sun Times.
In short, Chicago’s two major dailies are in a drag race to the cliff.
Causes for their decline abound. People are increasingly looking to the internet for news. TV cable channels have multiplied with outlets offering up-to-the-minute, 24-hour news. Younger generations have grown up with cell phone where they can now read the news while commuting on the train, keeping their fingers clean of ink.
There’s another reason the two big old dailies are dying.
More and more readers are less and less trusting of the veracity of what they read there. Case in point:
During the run-up to the 2008 Presidential election, both Chicago dailies served as shills for the Obama Campaign. The vetting of candidate Obama was powder-puff league quality, rather than hardball major league reporting. Puffery prevailed.
Sure, Chicago’s long been a Democrat Party town, and many Trib and Sun Times readers support the bias. But others, particularly those in the burbs, live where Democrat water doesn’t run as deep as in the City.
For the Fourth Estate, there’s a price to be paid for playing fast-and-loose with the news. Even those in sympathy with a bias, whatever it may be, eventually lose their underlying confidence in a news source the spins the story line, drives a meme, and promotes a political theme.
Let’s say it aloud: The two Chicago dailies helped Senator Barack Obama​ become President Obama.
The Tribune cooked the news somewhat more so than the Sun Times, but both outlets promoted his election. And as his presidency fails, some of the blame is falling at the feet of the Chicago print media that helped put him in the White House.
Today, if readers want to more fully understand Chicago and national politics they must expand the horizons of their news sources to include Chicago’s New Media.
If the people of Northern Illinois want to stay abreast of stories like the Rezko and Blago trials, they need to visit outlets like the Chicago Daily Observer and Citizen WElls. Both websites are linked in the margin of this website, along with Steve Bartin’s Newsalert, a running, updated compendium of current articles covering a variety of topics of interest, specializing in political corruption. A national pastime these days.
These are the news sources of the future – Chicago’s New Media. For the Old Media is dying a slow, self-inflicted death. And the New is just now being born.
Meanwhile, there will always be homes that welcome the old ink and paper media.
