Kraft seals $19-billion Cadbury deal, New York Times reports

(Crain’s) — Kraft Foods Inc. has reached a $19-billion deal to acquire British
candymaker Cadbury PLC, the New York Times reported late Monday.
The deal, which could not be independently confirmed, would make
Northfield-based Kraft the world’s largest candymaker. It also would represent
a triumph for Kraft CEO Irene Rosenfeld, who pursued Cadbury for four months.
Cadbury executives spurned her original $17 billion cash-and-stock bid as too
low and tried to drum up competing offers.
Although Hershey Co. was reportedly working to line up financing for a bid, the
Pennsylvania chocolate maker had not presented an offer as of Monday evening.
Kraft significantly increased the cash portion with its latest offer, the Times
reported. Although Warren Buffett and other large Kraft shareholders warned Ms.
Rosenfeld against overpaying for Cadbury, they were most concerned about the
risk of issuing too much stock in the deal. Her new bid appears to alleviate
that concern without raising the overall price too high.

The deal would value Cadbury at about 840 pence a share, roughly 5% above the
closing price of Cadbury stock Monday.
The Times reported that the deal could be announced Tuesday morning, but talks
are still going on and could fall apart. Kraft must submit its final offer by
midnight Tuesday under British takeover rules.

Briefly noted, by Ron May
* I have to get this out and to bed. But the pot is starting ot boil on the
Efoora front again. One of David Grosky’s gofers, Allan L. Soboj, has been
indicted by a federal grand jury for federal tax evasion. There is no direct
reference to Efoora in the indictment, but I have to believe that he would not
have been investigated were it not for Efoora.
What the indictment says is that Soboj under-reported income by an unspecified
amount. It does not claim any amount certain. It states losses for each taxable
year in question in the low to middle tens of thousands of dollars, which the
government will of course state really had profits. It states as their offer of
proof the existence of a second set of books. Underreporting income, no matter
what this does to the bottom line, is its own criminal offense separate and
apart from whatever tax may be due on the amount underreported, as it
constitutes “filing a false tax return.” Of course, if the underreported gross
sales caused an increase in the tax due, that would be another offense. They
need to get to zero just to break even, as obviously taxable income starts at
zero and he disclosed losses.
Beyond Soboj, the bigger pot that is starting to boil is in Philly where an
ex-prosecutor named Gerry Egan appears to have been involved in some very
questionable activities but more on that soon.
